Metrowerks Appoints Jim Welch President and CEO

AUSTIN, Texas — February 15, 2002 — Metrowerks, a Motorola company, today announced the appointment of Jim Welch as president and chief executive officer.

Welch has served as Metrowerks' chief operating officer since 1999, focusing on driving Metrowerks strategies and partnerships in the wireless, transportation, netcom and consumer electronics markets. In late 1999, he helped negotiate the acquisition of Metrowerks by Motorola. In 2000, Welch oversaw Metrowerks' expansion in Europe with the acquisition of tools provider Hiware AG, now Metrowerks' European headquarters. He joined the company in June of 1996 as chief financial officer, and played an instrumental role in the company's growth, financing efforts, and expansion into new markets.

Former Metrowerks president and CEO David Perkins has been appointed General Manager of Motorola's Networking & Computing Systems Group (NCSG) within the company's Semiconductor Products Sector. Perkins will remain in an advisory role at Metrowerks as company chairman. Perkins had served as Metrowerks' president since October 1999.
